1. Acceptance of Terms

By using Yes&'s website or any services we provide—including consulting, AI strategy, training programs, and workshops—you accept these Terms in full. If you do not agree, do not use our website or services.

We may update these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.

2. Description of Services

Yes& provides the following professional services:

• AI Consulting & Strategy
  Advisory services on AI integration, workflow automation, AI-enabled product strategy, and strategic decision-making.
• Training & Workshops
  Live and on-demand programs covering AI, product strategy, innovation, and leadership.
• Product & Innovation Support
  Guidance on designing or prototyping AI-driven features, experiments, or proofs-of-concept.
• Leadership Coaching
  Coaching for executives, product leaders, and founders on leveraging AI for growth and transformation.

Details of specific deliverables and pricing are determined in separate agreements (e.g., proposals or Statements of Work).

3. Relationship to the Privacy Policy

Your use of our website and services is also governed by our Privacy Policy, which explains how we collect and process personal data.

4. User Responsibilities

You agree to:

• Provide accurate information.
• Use our website and services only for lawful purposes.
• Not disrupt or misuse our systems.

• Cooperate reasonably with Yes& when receiving consulting or training services.

5. Service Availability

We aim to keep our website and online programs accessible, but we do not guarantee uninterrupted availability. Downtime may occur due to maintenance, upgrades, external providers, or circumstances beyond our control.

We are not liable for service interruptions outside our reasonable control.

6. Intellectual Property

Unless otherwise agreed in writing:

• All materials, training content, methodologies, frameworks, and documentation remain the intellectual property of YesAnd (FZC).
• You may use training materials internally within your organization but may not copy, share, or publish them externally.
• Yes&'s trademarks, brand names, logos, and slogans remain our property.
• Any IP specifically created for you within a consulting engagement will be governed by the terms of the relevant Statement of Work.

7. Confidentiality

Both parties agree to keep each other's confidential information strictly confidential and not disclose it to third parties unless:

• Required by law; or
• Permitted by the other party in writing.

These obligations continue for 5 years after the end of the business relationship.

8. Use of AI Tools

As part of our advisory and innovation services, we may use trusted AI tools (such as OpenAI, Anthropic, and others) to support analysis or prototyping.

• We do not submit your confidential information to any AI system without your explicit permission.
• Any use of AI will follow data-minimisation and security principles.
• Clients remain responsible for validating and governing any AI systems they deploy based on Yes&'s recommendations.

9. Payment Terms

Payments follow the schedule stated in your invoice, proposal, or Statement of Work.

• Standard payment term: Net 30 days (unless otherwise stated).
• Taxes: Fees are exclusive of VAT or other taxes unless stated.
• Refunds:
  • Online training: Full refund up to 7 days before course start.
  • Consulting services: Fees are non-refundable once work has started.
• Late payments may result in paused services until payment is received.

10. Limitation of Liability

To the fullest extent permitted by law:

• Yes& is not liable for indirect, incidental, consequential, punitive, or special damages.
• You use our services at your own risk and acknowledge that AI outcomes vary by context.
• Yes& does not guarantee specific business results, financial outcomes, or performance improvements.
• Yes&'s total liability for any claim is limited to the amount you paid for the specific service giving rise to the claim.

11. Disclaimers

Yes& provides all services "as is" and "as available."

We make no guarantees about results arising from AI adoption, strategic decisions, or use of prototypes. You remain responsible for your own business decisions.

12. Termination

We may terminate or suspend your access to services if:

• You materially breach these Terms.
• You misuse our services.
• Required by law or regulatory authorities.

Upon termination, you must stop using our materials and destroy confidential information as instructed.

13. Force Majeure

Neither party is liable for delays or failures caused by events outside their reasonable control, including natural disasters, outages, strikes, or regulatory actions.

Force Majeure never excuses payment obligations.

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Sharjah.

Any disputes fall under the exclusive jurisdiction of the courts of Sharjah, UAE.

15. Entire Agreement

These Terms, together with any signed agreement (e.g., MSA, SOW, invoice), form the entire agreement between you and Yes& and supersede any prior discussions or representations.
